By accessing or using ContextLayer ("Service"), operated by ContextLayer ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

ContextLayer is an AI-powered knowledge management tool for sales teams. The Service allows you to upload, store, and query call transcripts, documents, and other sales-related content, and receive AI-generated summaries and answers with source citations.

You must provide a valid email address to create an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@contextlayerai.io if you suspect unauthorized access.

You agree not to:

• Upload content that violates any applicable law or third-party rights
• Upload personally identifiable information of individuals without appropriate authorization
• Attempt to reverse-engineer, scrape, or abuse the Service or its AI models
• Use the Service to store or transmit malicious code
• Resell or sublicense access to the Service without our written consent

Your use of the Service is also governed by our Privacy Policy. Each workspace is fully isolated — your data is never shared with other customers and is never used to train AI models. Data is encrypted at rest and in transit.

You retain all rights to the content you upload. By uploading content, you grant us a limited license to process and store that content solely to provide the Service to you. We do not claim ownership of your data.

The ContextLayer platform, branding, and underlying technology are our intellectual property and may not be copied, modified, or distributed without permission.

The Free plan is available at no cost subject to usage limits described on our pricing page. Pro plans are billed monthly or annually per user via Stripe. Fees are non-refundable except as required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period.

We reserve the right to change pricing with 30 days' notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

We strive for high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance, and we are not liable for downtime or data loss caused by events outside our reasonable control.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AI-generated answers may contain errors; you are responsible for verifying any information before acting on it.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

We may suspend or terminate your account for material breach of these Terms, illegal activity, or non-payment. You may delete your account at any time from your workspace settings. Upon termination, your data will be deleted within 30 days in accordance with our Privacy Policy.

These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Nevada.

We may update these Terms from time to time. We will notify you of material changes by email or via a notice in the Service. Continued use after the effective date of any changes constitutes acceptance.
